Terms and Conditions
1. Applicability
These terms and conditions apply to all sales and deliveries by Formpress AB to customers, unless otherwise agreed in writing. Any conflicting or supplementary terms from the Customer are not binding unless explicitly accepted in writing by Formpress.
2. Prices
Formpress is only bound by written quotes and order confirmations. Formpress quotes are valid for two months from print date. Any changes in Formpress quotes are valid only if confirmed in writing. Changes in exchange rates, changes in commodity costs, changes in customs duties, commodity taxes or other public charges that result in increased costs for Formpress fulfilment entitle Formpress to raise agreed price. All prices in EURO, per pcs (if nothing else is written), excl. VAT and shipping.
3. Payment terms and Delay interest
Will be set after customary credit assessment, advanced payment may be charged depending on order value. Delay interest will be charged on late payment according to Swedish Interest Act, plus € 25 in remittance fee.
4. Terms of delivery
A specified delivery date is set on the date of which digital proofing and, if applicable, color samples and order confirmation are approved by the customer. The confirmed delivery date refers to the day on which delivery from Formpress factory is planned. Delayed delivery entitles to complaint only if a special agreement has been reached in writing.
5. Over/under delivery
Over/under delivery according to factory standards (Applicable when working with natural materials). Percentage is per design. The final delivered quantity will be charged for:
25-49 pcs: ± 20%
50-99 pcs: ± 15%
100-499 pcs: ± 10%
500-999 pcs: ± 5%
1000+ pcs: ± 3%
When ordering sample sheets such as coasters, sandwich trays, bag tags, etc., the percentage may be higher.
6. Transportation terms and transportation related damage to delivered products
Delivery terms according to agreement. We use Incoterms 2020.
FCA (Free carrier) Formpress – The transporter used unless otherwise specified or agreed upon is Postnord on Formpress account. When the order has left Formpress for transportation to the customer, responsibility for the products shipped is transferred to the customer. It is the Customer’s responsibility to arrange adequate insurance for goods during transit. Formpress is not responsible and cannot be held liable for damage that may occur during transport. Customer must, in writing, report any visible transport damage to the driver who delivers the goods upon receipt. Hidden transport damage must be documented and reported within seven days to the transporter.
7. Product Information
Formpress trays* and serving boards are Food Contact tested (EU), speak to your sales contact to receive test documents 472118117-01, 472115999-01. Check your country’s legislation and the countries you will sell to before ordering, to see if you need to perform any additional testing. It is the customers responsibility to ensure compliance with requirements and other applicable laws. The Customer shall indemnify Formpress against any claims, damages, or penalties arising related to the importation, use, or sale of the products.
Our birch veneer trays are tested to withstand industrial dishwashing up to 95 °C. This applies when Formpress handles printouts digitally(not fully printed backside prints), not for submitted material. Sandwich platters and coasters are recommended to be handwashed. The flat paper is squeezed into the tray’s bowl-shaped tool. The overflow of the paper will, when it adapts to the corners, leave more or less visible lines/creases after the fold of the paper. This is something that always happens in mould press production and is not a valid reason for reclaiming. To avoid sudden design cut-off in the end product, always fill up the entirety of the bleed area as specified in our template(s) with continuous design and pattern bleed beyond the tray area in the template. Due to the natural composition of the products made in our factory, the wood grain from the veneer used may be more or less visible through décor and print in final products. Due to the natural composition skewness up to 3 mm is approved according to factory standard. If you prefer barcode directly printed on the products back, we recommend using a back with a white background, if the customer wants to put barcodes on birch decor or a similar background, we cannot guarantee readability. Our products are recommended for indoor use. Exposure to outside elements and sunlight will shorten the product lifespan.
Products made from MDF such as serving boards and pot trivets should be hand washed and not allowed to sit in water as MDF is a moisture absorbing material. We recommend cleaning MDF products with a damp cloth. Our MDF products can withstand heat up to 130 °C.
We don’t recommend cutting on our products.
Formpress’s locally produced tabelstands for trays are intended for indoor use only.
The PET placemats are wiped with a damp cloth, the edges must not come into contact with moisture. Placemats made of MDF are wiped with a damp cloth, the edges must not come into contact with moisture, the product can change in form stability due to external heat and humidity.
*Products using natural cork are not tested for Food Contact.
Due to the unique surface structure of each cork product made, the structure and/or texture may vary between products. Claims due to visual structural and/or texture differences between cork in one product and another are not valid. The natural cork changes color and structure with use and over time. Products using natural cork have been dishwasher tested in factory for light use. The natural cork surface cannot be guaranteed to remain stain-free, stains should be removed immediately.
8. Raw-material
Our birch veneer and MDF products are made out of natural materials. This means that the thickness of the products produced may vary.
9. Press-moulds
The press moulds are refurbished and re-chromed in cycles, which means that variations in structure and shine can differ between orders and from product to product.
10. Pattern Protection
It is the customer’s responsibility to ensure the right to the pattern that is sent to Formpress for production. Formpress disclaims all liability and responsibility for any infringement or design protection trespass. The Customer agrees to indemnify Formpress for any costs or damages arising from intellectual property disputes related to submitted designs.
11. Digital prints
Color and structural deviations occur between different batches of our paper, decor and lacquer, as well as from printer to printer and from one production occasion to the next, this does not constitute a fault with the product. We are upgrading our printer fleet in cycles, which may result in changes to the colors.
Formpress digital prints in color space FOGRA39 for CMYK on uncoated paper. Exact Pantone colors or CMYK colors can not always be achieved. Color samples are sent to customer by agreement before full production. If the customer approves proof and order confirmation without prior physical samples, the products are non-refundable afterwards. In case of incomplete originals we can offer repro at a cost of 65 Euro/h.
Small dots and irregularities may occasionally occur in the paper and surface finish as the prints and lacquer are made with uncoated paper, all according to the factory default from our suppliers. Formpress cannot guarantee final product without these deviations.
All products are made by hand, with some adjustment (± 5mm) of the artwork/print being normal in our production, all in accordance with our factory default.
A digitally printed back is included with the text “in cooperation with Formpress” or similar. The quoted price is calculated based on the fact that we are mentioned in some way on the product. If you choose to remove this, you will receive a 10% charge increase on the base price of the product.
12. Sent-in-material – Paper and/or textiles
If the customer sends in his own paper, the customer is responsible for cutting the paper according to our exact product material dimensions. Customer is responsible for his own submitted paper and does not hold a right of complaint. Certain parts of the sent in material are lost in production due to Processing of natural materials, sent-in materials lost or damaged in production is not replaced or payed for by Formpress.
A customer sending in their own fabric is responsible for cutting the material in precise product material dimensions according to our specifications. Fabrics and lint from fabrics are more visible as they are pushed into the products. Dark stains and other defects in the fabric may appear when the fabric is pressed into the products and heated (no right to reclaim as this cannot be seen before pressing). If the fabric is unevenly made, color changes may occur (no right to reclaim as this cannot be seen before pressing).
The customer is responsible for his own fabric and holds no right to make a reclaim on received products, certain parts of the fabric is lost in production due to processing of natural materials, submitted material is not replaced or paid for by Formpress.
Fabric centring may vary more depending on fabric quality and how the textile is cut (reclaims in relation to product defects stemming from customers own cutting/clipping will not be approved). All products are made by hand, with some adjustment (± 5mm) of the artwork/textile being normal in our production, all in accordance with our factory default.
We do not recommend machine-washing trays with pressed fabric or customer sent paper.
13. Complaints/Reclaims
The customer is aware that submitted material may differ to a certain extent from the delivered products. The customer is therefore asked to always request digital proofing and product samples to ensure that the products comply with Customer’s expectations. The customer is responsible for paying attention to any deviation in proof and / or sample before order confirmation is accepted and production of the products begins. By approving order confirmation, responsibility is transferred to the customer, including responsibility for product selection, colors, product specification, placement, typeface and spelling. Formpress disclaims all responsibility and cannot be held responsible for discrepancies and deficiencies that the customer might have noted after having checked and approved of proofs, samples and order confirmation.
In the event of complaint of defective products, see the procedure below:
- Complaints about a product you are dissatisfied with must be received within 10 days from the invoice date to the responsible seller.
- Please document and send us photos digitally by email.
- Objections against invoice is made within 10 days from invoice date to responsible seller.
- We will be responsible for the return freight provided that the complaint/reclaim is accepted. No returns are accepted without first reaching an agreement with the responsible seller
- In the case of unauthorized claim, the customer may be charged for the re-shipping of products.
14. Warranty Policies and handling of reclaims
All Formpress products have 12 months warranty from the date of delivery. The warranty covers manufacturing defects that result in the product not being able to be used as intended. In the event of warranty use, we will either repair the product, re-manufacture it (sending it to one delivery address agreed with customer) or sending a credit invoice covering the ordervalue of the claimed products, depending on the specific situation.
Damage caused by accident, misuse, malpractice or wear and tear is not covered by our warranty.
15. Customer Solvency
If the customer becomes bankrupt, has cancelled payments or, according to Formpress, is deemed to be ineligible for the purchase where the order charge sum cannot be paid to Formpress by the customer, Formpress will hold all deliveries until satisfactory payment and security is given proving the customer’s ability to pay the full sum. Formpress is entitled to cancel any agreements and/or orders for any unpaid portion of the products.
16. Ownership rights
Formpress reserves the right to goods until they are fully paid by the customer. Until its ownership has been transferred to the customer, customer commits itself to the proper care of the product and not to make any changes to the product without the consent of Formpress, or, if the product is intended to be included in the customer’s inventory, transfer the product without Formpress consent. The customer also agrees that during this time the product will be insured against fire, theft and the like. Unpaid products may be sold by Formpress to third parties.
17. Force Majeure
If Formpress is prevented from fulfilling this agreement due to circumstances beyond Formpress’ control that Formpress could not reasonably have expected at the time of the agreement and whose consequences Formpress could not reasonably have avoided or overcome, or if Formpress’ subcontractor is prevented from fulfilling their delivery due to circumstances as stated here, this shall constitute a force majeure event, resulting in an extension of the performance deadline and exemption from penalties. This applies regardless of whether the cause of the delay occurs before or after the agreed delivery date. Formpress shall be relieved of any liability for damages or other penalties if the fulfillment of the agreement is hindered or made more difficult by any circumstance such as pandemics, epidemics, war, government intervention, civil unrest, power supply restrictions, labor market disturbances, prohibitions, restrictions, missing permits, accidents, adverse transport or weather conditions, internet outages, or hacker attacks. If the fulfillment of the agreement is prevented to a significant extent for a period longer than three months due to any of the above-mentioned circumstances, Formpress has the right to terminate the agreement in writing without liability for compensation.
18. Disclaimer
Formpress liability in any insurance cases, only if agreed upon, is limited to direct damage and to a maximum amount corresponding to 10% of the sales price of the product sold. Formpress cannot be held liable to pay any damages unless agreed upon. Formpress is not liable for indirect or consequential damages, including but not limited to lost profits, business interruptions, or reputational harm.
19. Disputes
Disputes relating to the interpretation or application of this agreement or of any legal situation shall be determined by arbitrators under Swedish law. The arbitration proceedings shall take place at the Chamber of Commerce in Stockholm and the voting rules of the Code shall be applicable. Formpress, however, has the right to claim payment for any outstanding debt at the clients’s location.
20. Changes to Terms
Formpress reserves the right to update or modify these Terms and Conditions at any time. Any changes will be posted on our website, and it is your responsibility to review these terms periodically.
